Corporate Law And Shareholder Approval
Most equity carve outs do not require shareholder approval and require only approval by the parent
company s and subsidiary company s boards of directors. More complicated corporate law
considerations, particularly those related to fiduciary duties, typically arise following the closing of an
equity carve out, especially if the parent retains a significant equity interest in the subsidiary.
Shareholder Approval
The question of whether shareholder approval is required to implement an equity carve out is
determined by state law. While shareholder approval statutes vary by state, most are substantially
similar to Delaware s statute, which provides that shareholders must approve a transaction in which a
company will sell all or substantially ... Show more content on Helpwriting.net ...
Most equity carve outs are not large enough to require shareholder approval; if the parent sells less
than a majority stake and retains control over the subsidiary, there is a strong argument against
needing to obtain shareholder approval. If the parent sells between 50% and 100% of its subsidiary
shares, on the other hand, and the subsidiary s business is important to the parent, there is a strong
argument in support of needing shareholder approval. The requirement for shareholder approval is
significant because proxy materials must be mailed, a shareholder meeting must be organized and
approval must be obtained before the transaction can be completed. If the parent s shares are
registered under the Exchange Act, proxy materials must comply with Regulation 14A and meet
disclosure requirements. While proxy materials should disclose the material terms of the offering,
details such as final price and size of the offering are typically not determined until the registration
statement is effective, which creates a risk that the parent will not be able to meet its disclosure
obligations.
Board Approval
Approval is typically required by both the parent s and the subsidiary s boards of directors in order to
implement an equity carve out. While the specific

Under Armour Competitive Forces
According to our text, there are 5 competitive forces that help shape strategy: competition from
existing players, supplier bargaining power, customer bargaining power, threat of new players, and
threat of substitutes. (Thompson, Peteraf, Gamble Strickland, 2017).
Competition
Under Armour faces competition from Nike, the Adidas Group, as well as any new players.
Nike and the Adidas Group are larger corporations and therefore have more resources to develop new
products.
Supplier bargaining power
Having an assortment of suppliers reduces bargaining power
Customer bargaining power
Under Armour have customers from large retail chains, which gives them name recognition. These
large retail chains have some level of bargaining power.

Under Armour s gross profit in 2015 was 1,905,547 compared to 712,836 in 2011. While expense
increased, the net income increased greater than expenses. In 2011, total assets were 919,201 and grew
to 2,868,900 by 2015.
Nike has the highest competitive strength when compared to Under Armour and the Adidas Group.
The Adidas Group has the next highest competitive strength and Under Armour is up and coming. The
size of Nike and the Adidas Group is a competitive advantage over Under Armour. However, Under
Armour is definitely a competitor for Nike and the Adidas Group. Under Armour is getting more and
market share and name recognition.
1. Labor Bringing Under Armour into the international market requires management to address the
issue of labor. U.S. customer could view Under Armour as using cheap labor in various countries.
2. Environmental Today most everyone is concerned about the environment. Plank and the
management team need to address the issue of making certain their products and materials are

Vladimir Ivanovich Putin Research Paper
Vladimir Vladimirovich Putin was born on October 7th, 1952, in Leningrad (which is now St.
Petersburg), Russia. He was the youngest out of three children to late parents Vladimir Spiridonovich
Putin and Maria Ivanovna Putina. He started school in September 1, 1960, and was one of the only
kids in his class of 45, who was not yet a member of the Young Pioneers organization. During his time
at the local grammar school, Putin developed an interest in sports, and focused more on that than his
learning. In 1970, Putin became a student at Leningrad University, majoring in law. After graduating
in 1975, he had his mind set on becoming an intelligence officer for the KGB. He started training at
the KGB school in Okhta, Leningrad. From there he began ... Show more content on Helpwriting.net

Due to Russia s constitutional terms Putin could not run a third term at the time, but he managed to
hold a primary position to help influence his protégé Dmitry Medvedev who succeeded him in
presidency. In 2012, Vladimir Putin was re elected to his third term as president. Protests and
allegations were made for electoral fraud. Delaying his inauguration till May 7, 2012. In December of
that year, Putin put a ban on the U.S. adoption of Russian children, aiming to make it easier for
Russians to adopt native children. This adoption ban however turned into national controversy, leaving
almost 50 children who were in the final phases of adoption with U.S. citizens at the time, into legal
limbo. Putin from there put further strain on the relations with the U.S. and Russia the following year
when he granted asylum to Edward Snowden, who was a wanted man by the U.S. for leaking
classified information from the National Security Agency. In response, current president at the time
Barack Obama canceled a meeting he had planned with Putin that

Francisco Goya The Third Of May Essay
For my writing assignment, I chose to discuss The Third of May, by Francisco Goya. On May 2, 1808,
hundreds of Goya s countrymen rebelled against the French. On May 3, these Spanish freedom
fighters were rounded up and put to death by the French. Francisco Goya was in a tough position
because he had supported the French Revolution, but the slaughter of his countrymen and the horrors
of war made him change his tune and had a profound effect on the artist. This painting is acclaimed as
one the great paintings of all time and has even been called the world s first modern painting. The
work of art itself is in the early hours of the morning taking after the uprising and spotlights on two
gatherings of men: a firing squad, and a scattered gathering or hostages held at gunpoint. There is a
row of French soldiers aiming for a Spanish man, who puts his arms up in accommodation both to the
officers and to his sure demise. There is a slope/hill behind him that represents an executioner s wall.
There is a heap of grisly dead bodies that lie at his feet, painting the territory with their gushing blood.
On his other side, you can see a line of his fellow countryman that can be seen extending out of the
scene. You can see that they cover their eyes to abstain from watching the butcher of their kindred
Spaniard, and they realize that death is ... Show more content on Helpwriting.net ...
Goya s painting presents us with an anti hero, pervaded with genuine emotion that had not seen since,
the ancient Roman sculpture of The Dying Gaul. Goya s main figure is not dying heroically in battle
but rather slaughtered on the side of a road like an animal. Both the scene and the dress of the men are
non descriptive, making the artistic creation an immortal bit of workmanship. This is unquestionably
why this piece of work remains emotionally charged

failed. Margot s male dance partners included famous dancers such as Michael Somes, Robert

The Terri Schiavo Case

ISU
On February 28, 1990, twenty six year old Terri Schiavo suffered severe brain damage when her heart
stopped for five minutes. Terri s condition was the subject of intense debate and media scrutiny over
the subject of euthanasia and guardianship. Given the circumstances of Terri s vegetated condition,
and no physical proof of her wishes, the last word on whether or not Terri would stay alive was given
to her husband Michael Schiavo, by the state of Florida. Michael s argument was that he was carrying

These medical experts have claimed that starvation and dehydration are not painful or discomforting
for Terri or anyone undergoing the experience. In fact, they claim that such victims begin to
experience euphoria a type of exhilaration as the victims draw close to death. If such claims are true,
then we might just have to amend the history of such events as the Holocaust, where starvation was
the key process by which millions died. As it turns out, starvation was the primary means of killing
unwanted peoples.
Shortly after World War II, investigations have discovered that the Nazi Holocaust used the method of
starvation as the main instrument of torture in the concentration camps. The same torture that Terri
Schiavo suffered, and the same torture that medical experts claim are a source of ecstasy.
President Bush, one of the most powerful figures in the world, stated shortly after Terri s death that
The essence of civilization is that the strong should protect the weak... and we need to continue to

Lynch Syndrome
Lynch syndrome, previously known as hereditary nonpolyposis colorectal cancer (HNPCC) is a
parental inherited condition that exposes a person to the risks of cancers, but most commonly colon
cancer1 9. It is a heterozygous autosomal dominant genetic condition, which means that if only one
parent carries the gene for Lynch syndrome (LS), then a 50 percent chance of passing on the mutation
will be passed to each child1 9. LS is limited to families with a known pathogenic germline mutation2.
A germline mutation is when mutations occur in the germ line, which is a group of cells that
contribute to the improvement of gametes2,3,10. To find out how individuals are to contract this
disease, the family medical history must be taken into account. Early ... Show more content on

The first role is that there is a predisposition to cancer development, meaning that a mutation in Mlh1
or Msh2 provide alternate causes for LS2,5. These mutations are distinguished because of the presence
of CpG islands and following transcriptional loss of single genetic alleles of the affected gene, which
results in the comparison of a heterozygous mutation2,10. CpG islands are clusters of the sequence
CG which may be gathered near promoter regions in a gene10. Another role is when the Lynch
associated tumors developed as a result a somatic loss of function of the last normal allele of the
mutated gene2. Somatic loss of function is a genetic change that takes place in a somatic cell, but the
change is not aquired2,10. Finally, the last role is the role of more derived epigenetic changes that may
be gained to assist the growth and advancement of associated Lynch tumors2. The studies of these
roles have shown that tumor suppressor genes occur within Lynch syndrome

Similarities Between The Hearst Castle And The Topakapi...
Title That I Haven t Figured Out Yet
The drastic difference in time periods between the Hearst Castle and the Topakapi Palace leads to the
differentiation in materiality and function, but the similarities of both the structures come together
with the grandiosity of the project and the lasting effect of the architecture. While the Hearst Castle
was initially built just to accommodate the Hearst family, the Topakapi palace was built for Mehmed
II and his dynasty. After a long line of collaboration with the Hearst family, Julia Morgan was
assigned to design a space for William Randolph Hearst in San Simeon because he was tired of going
up and camping and wanted something that would be more comfortable .[1] Morgan began
construction in 1919, and started with guest houses, since Hearst put emphasis on the idea of having
his family and friends over. Additionally, Morgan partially based her design on the tower of the church
at Ronda in Southern Spain, a favorite site of Hearst. The California location gave Morgan and Hearst
the excuse to resemble and mimic the renaissance style of Southern Spain. Controversy, the Topakapi
Palace was originally built in 1465 by the Sultan Mehmed II and his reign. The Topakapi Palace was a
center for administration, education and most importantly, to accommodate the Sultan. Aspects of
religion and spirituality were highly active through the site and the rich diversity of Islamic
architecture was prevalent throughout the space. Despite the

Social Determinism And Its Impact On Society Essay
Philosophers have attempted to define human nature for centuries, each coming up with a radically
different idea of what makes us human. These determinists relate outside events or forces as the
reason behind our actions. Our cognitive abilities separate us from beasts, however we are highly
influential animals unconsciously and subconsciously. Social determinism has distinctly shaped
mankind over time with a high degree of influence on our minds.
1. Historical Determinism
Fredrick Hegel s philosophy initially defined historical determinism and strongly influenced Germany
and Karl Marx. Hegel is highly recognized for his ideas of Geist and human progression over
generations with raised consciousness (Twelve Theories). With this view, he saw that throughout
history humans had advanced mentally and culturally to reach full development. With his various
works, Hegel influenced many readers and lead to the division of historical determinists. Hegel s
followers were categorized by the Left and Right camp based on whether or not they felt humans had
reached absolute knowledge (Twelve Theories). In the left camp, a philosopher that left an impression
on the concept of history named Karl Marx pushed Hegel s theories further.
Karl Marx criticized the other camp in his work, Philosophy of Right and expanded on his economic
standpoint. Working with Engels, he formed a materialism theory based off of the historical
determinist point (Twelve Theories). Marx argued that the

Construction Projects Of Saudi Arabia
For a project to be successfully completed before due dates and keeping budget under control
optimum utilization of resources is necessary; however, these limits may sometimes surpass. A
significant variance may be there between certain assumptions made during initial planning of project
and final outcomes. Unforeseen and unknown changes in construction methods, materials, techniques,
or human resources may create budgetary and scheduling pressures which may increase the possibility
of failure (Zeng et al., 2007). According to a survey exploring completion of construction projects in
Saudi Arabia showed that 76% of project contractors experienced delays of 10 30% of the projected

In another approach for assisting construction planners in making time cost trade off decisions. This
new approach, named the LP/IP hybrid method, is a combination of linear and integer programming.
The LP/IP hybrid method first establishes the lower bound of the time cost relationship of a project
using linear programming. Based on the linear programming solutions, regions of desired time and
cost can be selected to find the exact solutions by integer programming in a fraction of the time
required to solve the entire problem using only integer programming. This combination of linear and
integer programming provides the efficiency and accuracy for solving time cost trade off problems. In
addition, the lengthy and error prone process of formulating linear and integer programming objective
functions and constraints are replaced by a spreadsheet tool so that users can intuitively define time
cost and precedence relationships for activities. The LP/IP hybrid method along with the spreadsheet
tool provides construction planners with a new and efficient means of making good time cost
decisions. Detailed description of the LP/IP hybrid method is provided and an example is given to
demonstrate the use of this new method.

engineers in determining the suitable resource utilization

School Campuses And Its Effects On The United States
Violence in schools has spread widely throughout the world, leading to many problems among
families and students. On April 20, 1999, Columbine High School was the most famous and deadly act
of violence in the United States due to a lack of security. The massacre happened where Eric Harris
and Dylan Klebold killed 12 students, one teacher, and injuring 21 other students before turning the
guns on themselves. As a safe environment such as school, it is very important to make sure students
feel comfortable and safe during the semester. The best solution to minimizing the violation from
happening again involves two actions; make all school campuses improved by increasing the number
of security police and increasing the security cameras. One of the things that campuses need to
improve is to increase the number of the security police. Some school campuses are only hired about
one or two security polices which is not very secure for the big building such as colleges and
universities. Since ... there were thirty one associated violent deaths from July 1st, 2010 through June

Our Public School System is still plagued by lack of supplies and equipment as evidenced in our
surveys where 100% of respondents stated that they felt supplies were below minimum standards to
create an effective learning environment. We were given examples of students having to share
textbooks. Textbooks being outdated with some being from the late 80 s, not a big deal for math texts
but there has been a huge increase in knowledge in Science and a significant change in the geography
and history of our world which would make large sections of these older texts obsolete. Another large
complaint is the lack of proper facilities. Most schools being aged and in need of serious repairs. Lack
of Qualified Teachers We would all like to think that schools are going to educate every child and
expect them to bring every child to high standards of performance. Until fairly recently it was a
permissible practice to reserve the most qualified teachers for those schools serving high achieving,
affluent, college bound students who were believed to hold the greatest promise of success. Holding
school districts accountable for improving the performance of all schools and all students might well
require that resources, both human and financial, be allocated according to greatest need (ca.gov). This

Why Are Stereotypes Dangerous and What Can Be Done to...
Why Are Stereotypes Dangerous and What Can Be Done to Reduce Them? Very often, in our
everyday life, we tend to make certain generalizations about things and people around us. This is
because we are constantly exposed to heaps of information, and in order to cope with the complexity
of the world around us, we need to generalize and categorize.[1] Sometimes we do this on purpose,
with some intention. However, very often we do this subconsciously, unaware of what we are doing.
Many people generalize on others according to their clothes, profession, origin, way of speaking, and
many other, outer markers. This sort of thinking could be very dangerous, and it can lead us to
creating stereotypes. Stereotype is a term ... Show more content on Helpwriting.net ...
To prove this to be true, some of my colleagues and me had some people from our environment
interviewed on this topic. It is interesting that most of them had similar answers, and almost everyone
said the English were reserved, snobbish, and even evil. Americans were fat and stupid, self centered.
Although none of them would admit to be stereotyping, they all somehow knew this was true. Many
of them, when asked if they would ever live in these countries responded negativelly, because the
people were bad. Thus they had some prejudices formed against these people, and did not want to do
anything to help them understand and appreciate the other culture. Discrimination When the
stereotypes we have formed last for too long in our minds, they can grow and develop into something
more serious than prejudice. This is when we start acting and treating other people in a different, often
bad and inhumane way.[7] This is another possible danger of using stereotypes, which is called
discrimination. There are many different types of discrimination, based on appearance, age,
nationality, sex, etc. One of the most common forms of discrimination is based on a well known
stereotype found in many movies, magazines, and even in cartoons. It is the stereotype of a dumb
blonde. [8] It is an image of a girl who is physically attractive, but lacks brains. This stereotype is so
powerful, that very often all blonde girls

Catholic Theatre Vs Modern Theatre
Theater, especially realism, is suppose to show real life experience.,but real life experiences can also
be seen as a metaphorical theatrical performance. Some of my daily activity seem like a theatrical
performance, but one occasion that has the strongest elements of theater happens every Sunday. The
Catholic mass, which is a holy tradition for every catholic worldwide, has many theatrical elements
that accept the ideas of theater that we learn in class like audience interaction, liviness, use of literary,

Relaxed Hair Is Better Than Natural Hair Essay
Many people have compared natural hair and relaxed as both being healthy. I strongly agree that
natural hair is healthy for various reasons. I agreed to that because you not using the chemicals that
you use for relaxed hair. For natural hair all you need is water, wild growth and moisturizer. Relaxed
hair make your hair look very thin also you using perms which has chemicals that s not healthy for
your hair. Some women think relaxed hair is better than natural. Why is that ? It s because they think
when your hair natural it s very unlikeable. Natural hair has all the components to grow healthy, long,

Natural hair does grow healthier than natural hair because you do not use chemicals to harm your hair.
Black women discover their natural kinky hair. Natural hair is thicker because your hair follicles are

hair is healthier because it doesn t stripped away your hair. With natural hair keep your scalp
moisturized. Natural hair curl pattern is very pretty. I think going natural gives your hair a better
chance to grow since it isn t being damaged by chemicals. Relaxed hair is bad because some people
flat iron they hair every two weeks, that s not good because heat can break your hair off.

situations the forces of injustices are exposed. From different points of views, justice can be formed or
destroyed. In the film The Crucible, Arthur Miller convinces his audience that reason, emotion, and
character shows injustice throughout the social hardship in a Puritan community. Justice is one of the
main themes that is shown throughout The Crucible. Justice is meant to be administrated with upmost
fairness and equality. It is also supposed to be based on ethics, rationality, law, natural law, religion, or
equity. In The Crucible, it ... Show more content on Helpwriting.net ...
Abigail Williams is one of the characters who uses reasoning to get people put in jail or put to death.
The court uses inaccurate reasoning to kill people and to get people sent to jail. The court also wants
to see the reactions of the people. They make a big deal of killing witches to make the people of the
town feel more safe and to help the people trust the court. In the end, it is just the opposite effect.
Emotion is how anyone reacts to a certain event or to what someone has to say. In The Crucible,
Miller shows emotion by the way he uses certain characters to over exaggerate things to get the
audience s attention in the court. By using emotion, he shows that through different points of view,
justice can be served or destroyed. In the film, Miller uses Abigail Williams to show how using
emotion can make someone get what they want. Abigail over exaggerates things to get the audience
and the judges to have a larger reaction than normal. In the court, she and her fellow sisters do things
to get the audience s attention. She acts like she sees things and acts like people are torturing her to get
them killed or put into jail. To the court, they feel bad for Abigail which makes them believe that
justice will be served once they put the convicted witches in jail to be put to death. If you looked from
the convicted witches point of view, then justice would not have been served. Character

Problem Solutions to Global Communication
Problem Solution: Global Communications Global Communication (GC) is facing a significant
challenge in maintaining its competitive while honoring the rights of all stakeholders. Handled
improperly, a push to increase the bottom line can result in a worse financial situation simply due to
organization behavior. To accomplish its goals, GC must not only keep the end state in mind, but also
address the method by which goals are achieved. Communication between stakeholders is essential to
provide a foundation of needs and resources GC has to work with. The effect of emotion on work
product makes it essential that options to outsource and other changes are fully explored for all costs.
A consistent delivery to stakeholders, such as union ... Show more content on Helpwriting.net ...
Although GC s declining performance is in a completely different industry, the same principle applies
to both companies – a clear statement of what will happen followed by actions that back it up are
necessary to make significant cultural changes. For GC to argue that decrease of operating costs is
prompting the outsourcing, then teams across the company must be subject to budget reductions. This
strategy can be coupled with workflow analysis (see below). A second area for GC to examine in
defining its corporate strategy is where the company s core competencies lie – is GC noted for their
technical team or aggressive marketing strategies. At first glance, a call center does not have much in
common with the telecom industry. But at McKesson, the loss of several FTE positions stimulated
employees to develop a cohesive plan to train coworkers and streamline workflow to allow for the
consolidation of three groups (Levin, 2006). This was accomplished by fully informing affected staff
of upcoming changes and taking their input into consideration to develop/implement a solution. GC
has a similar opportunity in front of them – by including union and staff on the constraints of the
current situation as well as available resources, employees themselves may be able to identify
additional areas of savings while working to retain the employee pool in a redistributed basis. As with
McKesson, GC may find that many strategies that emerge are ones that have been

John laughs at me, but one expects that in marriage.
Charlotte Perkins Gilman wrote, John laughs at me, of course, but one expects that in marriage. In her
The Yellow Wallpaper men attempted to prevent women from achieving their intellectual and creative
potential by making women be their subordinates. The dreadful wallpaper that Gilman came to hate in
her story is a symbolic representation of her personal life were as she gets married her role is limited
to that of a domestic servant as her husband exercises authority over her. For example, in some parts
of the world today, some women under the institution of marriage are still caged because they must
accept control or instructions from men as a social expectation. Gilman and Chopin in their short
stories how the male dominated society used power to imprison, oppresses, silences, and encourages
submissiveness among married women. The freedom for a woman to speak, think, act and contribute
to decision making in her marriage contributes to the fight for equality between men and women.
The short story The Yellow Wallpaper by Charlotte Perkins Gilman illustrates the struggle faced by
women who seek freedom from oppression. Gilman reveals in this short story how the narrator feels
oppressed by her husband despite her love for writing by stating, He hates to have me write a word
(218). This narrator is apparently feeling trapped in a marriage that does not allow her freedom to do
the thing she enjoys. The trapped woman

How Does Norman Bates Relate To Psychology
Alfred Hitchcock s original contemporary film Psycho shocks the conservative audiences of the 1960s
era by delving into the demented intricacies of Norman Bates mind, and questioning the façade of
normality that society expects of us. Sigmund Freud s Psychoanalytical lens allows the audience to
expound Bate s unhinged character and to bring some meaning to the pure psychoticism of his actions.
Hitchcock s manic antagonist Norman Bates disturbing behaviour can be scrutinised using Sigmund
Freud s psychoanalytical perspective; thus perusing the motives behind his horrifying matricide and
subsequential murders. Bates childlike disposition throughout the film, seen through his poor social

The Laramie Project
In Moises Kaufman s, The Laramie Project the under lying theme of the novel is people are afraid of
change. This can be proved from the novel with the character Cathy Connolly and the struggle that
homosexuals have to live in there own society. The juxtaposition of anti gay demonstrations sparked
by religion at a homosexual s funeral, and even the physical setting is related to why people are afraid
of change. Whether it is start by homophobia, religion, or opression, people are not just afraid of

Analysis Of The Joy Luck Club
Whether it is wholesome or tough love, the bond of a mother and daughter can never be broken. The
Joy Luck Club is the epitome of this notion. The anthology contains a series of sixteen vignettes, four
of which belonging to one of each of the four members of The Joy Luck Club. These vignettes cover
the perspectives of mothers who immigrated to America from China, along with the flip side point of
view, taken over by each of their daughters. In the anthology, Tan reflects on her past life and
incorporates it into the book, exploring cultural, relationship, and internal conflicts.
The first chapter of The Joy Luck Club is named after one mother, Suyuan Woo. The reader is
introduced to Jing Mei, her daughter, struggling to replace her mother in her spot at the mahjong table,
as she died two months prior. In 1949, Suyuan Woo and her husband, Canning, left for America in
effort for a better life two years before the birth of Jing Mei. There, she joined a Chinese baptist
church where she met the other core members of The (rendition of) Joy Luck Club: the Hsus, the
Jongs, and the St. Clairs. Suyuan and Jing Mei Woo, despite how well they get along, run into many
conflicts, mostly regarding their differences in culture. Suyuan grew up in China, where she had gone
through several complications and dire situations, which as a result forced her to succumb to extreme
sacrifices one of which being the abandonment of her own twins. On the other hand, Jing Mei was

Comparing Chopin s The Interlopers And Story Of An Hour
When you go to compare and contrast, the first items you look for would probably be the obvious,
such as the plot. The Interlopers and Story of an Hour (Saki and Kate Chopin, respectively) are not
easily comparable in their plot, settings or subjects; however, the devices and some main parts are the
same. There are situational ironies in both. In The Interlopers, they are fighting with each other and
you expect one to die, then the story twists, and they become friends. Then the story twists again, and
the ending makes it seem like they both die. No, said Ulrich with a laugh, the idiotic chattering laugh

2 In this, we also see that there is death in both stories. There is a tree or trees in both, but it is a bigger
part of the story in The Interlopers. In The Interlopers, a tree falls during a storm and pinions the two
main characters to the ground. A fierce shriek of the storm had been answered by a splitting crash over
their heads, and ere they could leap aside, a mass of falling beech tree had thundered down on them. 3
This causes them to become friends, but also causes their deaths. In Story of an Hour, the main
character observes the trees through the window, but not much else is said about them. Both stories
mention families, although family is most important in Story of an Hour. In Story of an Hour, the main
character s family comes to comfort her, after her husbands tragic supposed death. She lets them
console her, but then she doesn t want them near, and runs to her room to have some time to herself.
She wept at once, with sudden, wild abandonment, in her sister s arms. When the storm of grief had
spent itself she went away to her room alone. She would have no one follow her.

Autonomic Nervous System Analysis
The autonomic nervous system (ANS) is a branch of the central nervous system (CNS) that divides
into two divisions. The sympathetic (SNS), fight or flight division, and the parasympathetic (PNS),
rest and digest division both seek to regulate involuntary visceral motor control by transmitting their
signals from the CNS to cardiac muscles, the heart and blood vessels; smooth muscles, the stomach
and intestines; and glands, sweat and salivary. The SNS increases heart rate by transmitting its
impulses onto short, myelinated preganglionic neurons that trigger the release of acetylcholine (ACh)
onto nicotinic cholinergic receptors found on the postganglionic cell. The impulse then travels along
long, unmyelinated adrenergic postganglionic neurons, ... Show more content on Helpwriting.net ...
Baroreflex failure syndrome is a rear cardiovascular disease that prevents afferent baroreceptor nerve
cells from monitoring and regulation blood pressure. Baroreceptors respond to high blood pressure by
increasing their firing rate, decreasing sympathetic outflow, heart rate, and contractility. This causes an
increase in parasympathetic outflow from the vagus nerve, which causes vasodilation, a decrease in
mean arterial pressure, and lowers blood pressure. Baroreceptors that are found within the carotid
sinus and aortic arch, and travel along the glossopharyngeal and vagus nerves. They send their sensory
input about blood pressure to the cardio regulatory center of the medulla oblongata, and a sympathetic
response leads norepinephrine (NE) to bind to beta adrenergic receptors on autorhythmic cells to
increase Na+ permeability through funny channels, and Ca2+ permeability through T type channels.
This triggers a faster drift, a less negative membrane potential, and increases the rate of sinoatrial (SA)
node firing, and signal conductance. The exact mechanism for initiation of the disease is still
unknown, but recent studies have hypothesized that the syndrome degrades neurons on both sides of
the solitary tract located in the medulla, and triggers cell necrosis of the glossopharyngeal and vagus
nerves. This cranial nerve damage impairs the

The School That I Would Give Temple University Essay
I have attended only three different schools before NECC. The school that I thought was by far the
most dynamic and helped me retain information better was Temple University. I would give Temple
University an A, because I was exposed to several different teaching styles, which made the classes
much more memorable. I remember sitting in my Language in Society Class thinking Why are we
taking a group quiz? He might as well just hand out the A s. But it was much deeper than that. I had to
learn how to balance speaking and listening for group participation, in addition to time management. It
wasn t like a group project, because we were just working together for one timed class period instead
of having days of preparation. These were skills that I came to realize were much more important
outside of school. I ve noticed a lot at work, when we have to make a timed decision especially, that
people would dominate conversations and leave people s opinions out. Now, I actually want to hear
from people who are quieter as opposed to just thinking that they agree with whatever is being said. I
had several different teachers that would challenge the structure of a normal classroom.

Space Rocket History
The rocket and space suit, like many things, did not start with the roles they have today. The first
mention of a rocket was in a story about a Greek named Archytas who entertained the people of
Tarentum by flying a pigeon made of wood with stem propelling out in 400 B.C.E. The Chinese were
the first to use a rocket. During the first century, their rockets were used as celebrational displays
similar to fireworks but between 1200 and 1300 C.E., the first rocket propulsion system was invented.
The propellant was made with gunpowder, the earliest chemical explosive in history. (Benson, 2014)
The rocket was used for military purposes until the 1880s. Between 1930 and 1965, scientists and
inventors began to improve the rocket for space travel. Since the moon landing in 1965, development
of a better rocket that can bring humans to places beyond the moon are being developed. (Howell,
2015) In the other hand, the space suit was rather referred to as pressure suits which provide oxygen
when a person was at a high level. Likewise, they were worn and invented by air plane balloonists and

The Important Role Of Bureaucracy In The United States
I strongly believe that the bureaucracy is the real government. We the people just have a person in
office claiming to get things done. While congress passes laws, it would be somewhat impossible for
congress to make all the decisions that have to be made to translate the laws into action or to make
policies and choose actions on how the laws are to be carried out and enforced. So, then it looks like
bureaucrats run our country. Bureaucrats serve an important role by working with interest groups to

The Pros And Cons Of A Class Action Law Suit
A class action law suit or class suit is a type of lawsuit where one of the parties is a group of people
who are represented collectively by a member of that group. Some advantages of this is that it is lower
costs of litigation because the expenses are shared among the class members who pay nothing up front
and even then only if the lawyer is able to settle or their behalf or win do they pay, it is a stronger
position because the very nature of a large group of people with a similar claim leads to a stronger
negotiating position, etc. One con of this is that there is a lack of control because only the
representative parties have decision making power to settle and to make other important decisions
regarding the lawsuit and it takes time because

Physics Of Prime Numbers
Abstract The Physics of Prime Numbers [1] Yeow Liiyung University of Leeds Introduces the prime
numbers and the Riemann Hypothesis as an im portant unsolved problem in mathematics, and
suggests that there may be a physical interpretation or embodiment of the problem. Although several
physical interpretations are on offer, this paper focuses primarily on how the primes may be connected
to quantum physics and classical chaos, and seeks to compile evidence hitherto that this might be true.
We take a spec ulative look into the currently unknown Hermitian Hˆ operator, and explore the
attempts to identify it. Although the idea is rather complex, and most calculations and evidence reach
a level of technicality far beyond undergrad uate level, this paper tries to put the idea forward on a
level suitable for second year physics undergraduates understanding. 1. Prime Numbers Mathematics
is intricately related to physics, and is often employed to aid calculations or derive further
understanding on physical concepts. One fundamental field of mathematics is number theory,
specifically the area con cerning prime numbers. Prime numbers are numbers that do not have factors
other than itself and the number 1; they are not products of other numbers. In this sense, they are like
the atoms of numbers and arithmetic, because it is possible to uniquely construct the rest of the
numbers from products of prime numbers. While Christian Goldbach s conjecture that every number

Causes And Effects Of World War II
Causes and Effects of World War II World War II has been considered one of the worst things to ever

What Is The Meaning Of Grace
5.3.1 THE ETERNAL LOVE OF GOD
When we look at the gift of our redemption, we realise how great God s love is us. The entire heaven
came down in the Son of God, Jesus Christ our Lord and Saviour. It is a gift without measure. It is the
eternal love of God, given to man with full measure. There is nothing that can be equalled to that gift.
Grace is the love that is called agape in Greek, which is the unmerited favour or unconditional love
from God our father. Lowe says: Grace is such a many sided word that to define it becomes extremely
difficult (1968: 19). Perhaps it is the everlasting and purposeful love of God.

was a shame to the Roman family as well as the Jewish family whose son or daughter had been
hanged on the cross. Because of his love, Jesus decided to bear our shame and our death.
Paul talked greatly about the death and the resurrection of Jesus. Lowe says the following about

need regular service almost immediately after start up. The role of maintenance is to identify and
remedy potential problems before they impact operation. This requires establishment of a set of
operating parameters. The design specifications help to identify the maintenance parameters. Both
preventive and corrective maintenance are necessary in a distribution system. The objective of
maintenance is the maximum continuous service of the equipment in the system at the lowest possible
cost to the utility. Preventive maintenance is specifically scheduled to insure the safety of the water
and results in fewer interuptions of service and fewer customer complaints. Such things as inspecting,

Brand Luther Chapter Summary
Brand Luther, written by Andrew Pettergree, approaches the life of Martin Luther and seeks to explain
how a monk took his small town, turned it into one of the largest publishing centers of Germany, made
his name known by all, and gave birth to the period in time known as the Protestant Reformation. The
book itself is divided into twelve chapters, each going into detail about events leading up to, as well
as, during the Reformation, and the events that transpired after the death of Martin Luther. Beginning
in Part One, A Single Man, the first chapter and second chapters, A Small Town in Germany and
Making of a Revolutionary, discusses the origins of the town of Wittenberg, the book trade of
Germany prior to Luther s influence, the elector of Saxony, Luther s early life and that would lead to
his attack on indulgences, Frederick the Wise s ambition for the town of Wittenberg and the work he
put into the town in order to make it both a religious as well as intellectual powerhouse that it would
come to be known as. Overall, this chapter serves the purpose of opening to the events that would

The third chapter explains the origination of the indulgence that Luther would protest which was a

miscommunications between those of his inner circle as well as the painful last days of a dying man
whose anger would serve as the foundations of future extremist

networking, whether they are positive or negative standpoints. Nevertheless, social media and
networking is a part of our American lifestyles as a whole. As a Computer Information Systems major
and studying the foundations and composition of computer applications, I would like to research the
effects that social networks have on underclassmen undergraduate students attending an Historically
Black College or University. In order to conduct this research, a study and survey must be held to
determine whether social networking positively or negatively affects grade point averages by
recording the number of social networks students are actively using and the number of hours spent on
these applications in comparison to grade point averages. This research is important because there are
many individuals who do not know the effects of their social networking, or lack thereof, has on their
grades, sleeping patterns, health, and lifestyles in general. Although this research will focus on grade
point averages of students, it will also determine if social networking has effects on other aspects of
the college life such as sleeping patterns, health, and awareness. Purpose of Study Individuals should
understand that the use or nonuse of social media has negative and positive effects on their

Corporate Law And Shareholder Approval Most equity carve outs do not require shareholder approval and require only approval by the parent company s and subsidiary company s boards of directors. If the parent sells between 50% and 100% of its subsidiary shares, on the other hand, and the subsidiary s business is important to the parent, there is a strong argument in support of needing shareholder approval. The requirement for shareholder approval is significant because proxy materials must be mailed, a shareholder meeting must be organized and approval must be obtained before the transaction can be completed. If the parent s shares are registered under the Exchange Act, proxy materials must comply with Regulation 14A and meet disclosure requirements. While proxy materials should disclose the material terms of the offering, details such as final price and size of the offering are typically not determined until the registration statement is effective, which creates a risk that the parent will not be able to meet its disclosure obligations. Board Approval Approval is typically required by both the parent s and the subsidiary s boards of directors in order to implement an equity carve out. While the specific ... • 5. Francisco Goya The Third Of May Essay For my writing assignment, I chose to discuss The Third of May, by Francisco Goya. On May 2, 1808, hundreds of Goya s countrymen rebelled against the French. On May 3, these Spanish freedom fighters were rounded up and put to death by the French. Francisco Goya was in a tough position because he had supported the French Revolution, but the slaughter of his countrymen and the horrors of war made him change his tune and had a profound effect on the artist. This painting is acclaimed as one the great paintings of all time and has even been called the world s first modern painting. The work of art itself is in the early hours of the morning taking after the uprising and spotlights on two gatherings of men: a firing squad, and a scattered gathering or hostages held at gunpoint. There is a row of French soldiers aiming for a Spanish man, who puts his arms up in accommodation both to the officers and to his sure demise. There is a slope/hill behind him that represents an executioner s wall. There is a heap of grisly dead bodies that lie at his feet, painting the territory with their gushing blood. Lynch Syndrome Lynch syndrome, previously known as hereditary nonpolyposis colorectal cancer (HNPCC) is a parental inherited condition that exposes a person to the risks of cancers, but most commonly colon cancer1 9. It is a heterozygous autosomal dominant genetic condition, which means that if only one parent carries the gene for Lynch syndrome (LS), then a 50 percent chance of passing on the mutation will be passed to each child1 9. LS is limited to families with a known pathogenic germline mutation2. While the Hearst Castle was initially built just to accommodate the Hearst family, the Topakapi palace was built for Mehmed II and his dynasty. After a long line of collaboration with the Hearst family, Julia Morgan was assigned to design a space for William Randolph Hearst in San Simeon because he was tired of going up and camping and wanted something that would be more comfortable .[1] Morgan began construction in 1919, and started with guest houses, since Hearst put emphasis on the idea of having his family and friends over. Additionally, Morgan partially based her design on the tower of the church at Ronda in Southern Spain, a favorite site of Hearst. The California location gave Morgan and Hearst the excuse to resemble and mimic the renaissance style of Southern Spain. Social determinism has distinctly shaped mankind over time with a high degree of influence on our minds. 1. Historical Determinism Fredrick Hegel s philosophy initially defined historical determinism and strongly influenced Germany and Karl Marx. Hegel is highly recognized for his ideas of Geist and human progression over generations with raised consciousness (Twelve Theories). With this view, he saw that throughout history humans had advanced mentally and culturally to reach full development. With his various works, Hegel influenced many readers and lead to the division of historical determinists. Hegel s followers were categorized by the Left and Right camp based on whether or not they felt humans had reached absolute knowledge (Twelve Theories). In the left camp, a philosopher that left an impression on the concept of history named Karl Marx pushed Hegel s theories further. Karl Marx criticized the other camp in his work, Philosophy of Right and expanded on his economic standpoint. Working with Engels, he formed a materialism theory based off of the historical determinist point (Twelve Theories). Marx argued that the ... Get more on HelpWriting.net ...

Based on the linear programming solutions, regions of desired time and cost can be selected to find the exact solutions by integer programming in a fraction of the time required to solve the entire problem using only integer programming. This combination of linear and integer programming provides the efficiency and accuracy for solving time cost trade off problems. Very often, in our everyday life, we tend to make certain generalizations about things and people around us. This is because we are constantly exposed to heaps of information, and in order to cope with the complexity of the world around us, we need to generalize and categorize.[1] Sometimes we do this on purpose, with some intention. However, very often we do this subconsciously, unaware of what we are doing. Charlotte Perkins Gilman wrote, John laughs at me, of course, but one expects that in marriage. The dreadful wallpaper that Gilman came to hate in her story is a symbolic representation of her personal life were as she gets married her role is limited to that of a domestic servant as her husband exercises authority over her. For example, in some parts of the world today, some women under the institution of marriage are still caged because they must accept control or instructions from men as a social expectation. The sympathetic (SNS), fight or flight division, and the parasympathetic (PNS), rest and digest division both seek to regulate involuntary visceral motor control by transmitting their signals from the CNS to cardiac muscles, the heart and blood vessels; smooth muscles, the stomach and intestines; and glands, sweat and salivary. The SNS increases heart rate by transmitting its impulses onto short, myelinated preganglionic neurons that trigger the release of acetylcholine (ACh) onto nicotinic cholinergic receptors found on the postganglionic cell. Baroreflex failure syndrome is a rear cardiovascular disease that prevents afferent baroreceptor nerve cells from monitoring and regulation blood pressure. Baroreceptors respond to high blood pressure by increasing their firing rate, decreasing sympathetic outflow, heart rate, and contractility. Baroreceptors that are found within the carotid sinus and aortic arch, and travel along the glossopharyngeal and vagus nerves. They send their sensory input about blood pressure to the cardio regulatory center of the medulla oblongata, and a sympathetic response leads norepinephrine (NE) to bind to beta adrenergic receptors on autorhythmic cells to increase Na+ permeability through funny channels, and Ca2+ permeability through T type channels. This triggers a faster drift, a less negative membrane potential, and increases the rate of sinoatrial (SA) node firing, and signal conductance. I remember sitting in my Language in Society Class thinking Why are we taking a group quiz? He might as well just hand out the A s. But it was much deeper than that.
