Minority Shareholder Rights- Case
To: Joe Brock From: Sue Smith, CPA Subject: Minority Shareholder Rights
Facts:
Joe Brock is a minority interest shareholder in Big Corporation. Leslie Ross is a shareholder that
owns less than 50% of the voting shares, but has the majority of the voting shares and thus has
taken control of the corporation. According to SFAS 94, due to this control, Leslie Ross must
consolidate his interest with Big Corporation. Mark Jones, a minority shareholder, is in a position of
management for the company. Joe Brock is unhappy with Mr. Jones decisions and would like to
challenge his authority. Issue:
Determine what factors arise in considering if a minority investor can make maintain such control
or what can be done to prevent others ... Show more content on Helpwriting.net ...
Consideration is given if the majority shareholder owns such a significant portion of the investee
that the minority shareholder has a small economic interest. The larger the disparity, the more likely
these are to be protective rights. In this situation, there is not a large disparity.
b. If the corporate governance arrangements states that decisions are made at the shareholder level,
these are likely to be substantive participating rights.
c. If matters can be put to a vote of the shareholders, these are most likely substantive participating
rights.
References:
ASC 810 10 25 5
Assessing whether the rights of a minority shareholder should overcome the presumption of
consolidation by the majority investor depends on whether the majority investor has control over
the corporation. Judging control depends on many factors, including if a minority investor has
participating or protective rights.
ASC 810 10 25 10 through 25 11
A minority investor that holds protective rights does take the control away from the majority
investor and the owner of the majority voting interest would need to consolidate with the
corporation.
Substantive participating rights are granted by contract or by law. A minority investor that holds
these rights can participate in significant decisions that are made in the ordinary course of business,
including vetoing significant decisions proposed by the investor with the majority voting interest. If

Compare and Contrast Essay of the Opening Scenes of Tim Burton s Corpse Bride and The

This essay compares and contrasts the similarities and the different parts of the opening scenes of
two movies of Tim Burton which are Corpse Bride and The Nightmare Before Christmas. The
scenes will be explained in details through the gothic elements and his unique style. Here is an
outline of the essay s main sections;
1.Introduction
Information about Tim Burton and his unique style
Famous for his unique style, Timothy Walter Burton was born on August 25, 1958, in Burbank,

Tim Burton s Unique Style/Burtonesque
Just like in his previous movies, in both The Corpse Bride and The Nightmare Before Christmas, it
is very clear to find Burton s own signature. People have frequently contrasted Burton s style with
the gothic. The utilization of dark, the dimness of some of his illustrations, the overwhelming
make up, the whiteness of the skins, beasts and other spooky animals review Gothic writing and
works of art yet, in addition, German Expressionism. The topic of death is ubiquitous in Burton s
specialty regularly joined with verse and ridicule. The shocking end up noticeably funny and
beautiful. He discovers motivation in the creators he adores like Edgar Allan Poe and Roald Dahl.
He appreciates them for the unpredictability of their stories and the many sided quality of their
universes a long way from being recently highly contrasting. They are both entertaining and dull
and near Burton s own particular style.
A world brimming with logical inconsistencies, both dull and light, startling and inviting,
merciless and delicate. A world where obscurity lives together with splendid hues, where strange
looking individuals and creatures are overcome and liberal and where the terrible ends up plainly
wonderful. Tim Burton has his own style that remaining parts incomparable and his lavishness has
turned out to be to a great degree famous. His world is such a

Tsarist Autocracy Essay
The Russian Empire was a vast state that ruled over many different nationalities. All people in
Russia had to face a highly authoritarian regime, the Tsarist Autocracy. The most crucial of the
defining features of the Tsarist Autocracy was the fact that the ruler, the Tsar, had an absolute
power which was said to be derived from God and knew no constitutional limits. This had very
deep political and legal implications: decrees of the Tsarwere considered laws, and with such
authority there was no need for any political system. Below the Tsar existed his government and a
vast bureaucracy which was administering the state affairs. Lack of control and accountability
generated high corruption in the public life of Imperial Russia. Another characteristic of the regime
was the absence of political freedoms and civil rights, censorship and strong repression of
opposition with a strong role of the secret police which in turn made Russia a police state.
Russia s social structure was based on the ranks dividing the people into 4 main social classes.
The nobility formed the ruling elite who shaped the basis of the autocracy of the Tsar and enjoyed
extensive privileges such as being excluded from paying taxes.
Below the ruling nobility were those nobles who worked as government officials and were
dependant on a salary. ... Show more content on Helpwriting.net ...

The Light at the End of Hell
The Light at the End of Hell
It so happens that everyday people quit their jobs, quit school, leave their families, or sadly end
their lives. People tend to give up on dreams as soon as someone closes the door on them which
leaves them with no hope. What one has done over the years, all the work and sweat, the
sacrifices that person has made are gone in an instant because he can no longer endure the pain.
People face challenges and sometimes hardships, but all of this is a part of life. One nags and
bitches about how bad their life is but never takes the time to think about the great outcome that
may occur once they get through the suffering. People believe that they are the victims and they
will never get anywhere because of all the ... Show more content on Helpwriting.net ...
Without suffering and pain, life would not mean anything. One would live in a perfect world
with a perfect family and in perfect harmony. Life would be meaningless if the world were a
utopia. There would not be balance between good and bad and it would not be worth to live
since there would be no challenges or fears.de Botton gives us a quote explaining what one would
face if they chose the easy way out of tough times and what they would face in the end. He says:
What if pleasure and displeasure were so tied together that whoever wanted to have as much as
possible of one must also have as much as possible of the other... you have the choice: either as
little pleasure as possible, painless in brief...or as much displeasure as possible as the price for the
growth of an abundance of subtle pleasures and joys that have rarely been released yet? If you
decide for the former and desire to diminish and lower the level of human pain, you also have to
diminish and lower the level of their capacity for joy (215).
Pleasure and difficulties are tied together and they work like a scale. On one side, we have
pleasure and on the other difficulties. If one cheats in life and has too many pleasures, one will
suffer hardships. However if one faces the hardships and goes through difficulties in order to be
successful, one will be happy in the end. People end their joys if they choose to cheat and take the
short cuts. It is important for people to understand why

The Digital Film Making Industry Essays
The Digital Film Making Industry
Digital filmmaking is quickly changing everything about filmmaking. Everyone from professionals
to amateurs are currently seeing great advancements in many aspects of the industry.
Every year thousands of independent films are made. The vast majority of these films are
created using digital cameras and basic home computers. A few years ago this was impossible
due the sheer cost of quality 35 millimeter cameras, and extremely expensive editing equipment.
Now anyone can make a relatively high quality digital film with a 1000 dollar camera and a 2000
dollar computer. With a setup like this films can be shot and edited, also special effectsand CG
sequences unimaginable to even professional film ... Show more content on Helpwriting.net ...
Independent filmmakers are not just using the internet to distribute their movies but also selling
these digital movies to film studios. Miguel Arteta s Chuck and Buck was completed for about
500,000 dollars using a completely digital process. If they would have used standard 35
millimeter film it would have cost them 1.4 million dollars to shoot. They sold the movie for 1.1
million and made a nice profit of 600,000 dollars. If they would have shot the film using 35
millimeter cameras they would have lost 300,000 dollars.
Currently about 99% of all major movies are shot are done so using standard 35 millimeter film.
The film is then scanned into a computer, edited and then put back on to 35 millimeter film. Each
copy of the film costs about 1000 dollars to make and weighs about 70 pounds. Digital films
however can be stored on large servers or in physical form in DVDs, which is much more
practical, and with today s technology hard to differentiate form analog film. Some movie studios
and directors have already switched completely to digital. Digital cameras have progressed
enough that their image quality is close to the traditional format. Spike Lee shot both of his 2000
films, Bamboozled and The Original Kings of Comedy using Sony digital cameras. These cameras
are relatively cheap and are affordable enough for the many people to own.

Essay On A Stand Against Slavery
A Stand Against Slavery or a Stand for the Union Imagine being crammed in the underbelly of a
rundown ship, floating towards a place you ve heard dreaded stories of. Your fellow neighbors
and family sit next to you, sharing all your food with no sense of privacy. Once free from the
dark and disgusting ship, you head for a cruel and segregated life. Now, you must blindly follow a
pale tyrant and work for him, without any opposition to his every word. You re treated like a dog,
and forced to perform hard labor without pay. The Civil War presented itself in the 1860 s when the
Southern Confederate States had different values to that of the Union and America (McPherson).
The Southern slaves contributed to the success of the South, and when African Americans lacked

Rituals Of Nacirema
Culture is very fascinating becasue it entails so many elements. Differences in food, talk, dress,
religious beliefs and even schooling often determine what region you are from in the U.S. much

society. It is hard to understand how they have managed to exist so long under the burdens with
which they have imposed upon themselves. (Miner, p507). The fascinating thing about this society
is that they have a seemingly possessed fixation with the mouth. It s both admired and despised
simutaneously. To them it is the gateway to both lasting or doomed friendship as well as the
riddence or existance of physical and mental illness.

The Role of Ambition in Macbeth
The role of ambition in Macbeth The Tragedy of Macbeth by William Shakespeare recounts
Macbeth s meteoric rise as a soldier and promising future leader whose megalomaniacal ambition
led to his tragic downfall. In addition to Macbeth s ambitions, which initially enable him to be
strong leader and soldier, he is influenced heavily by his wife, Lady Macbeth, and the three witches
that prophesize his ascent to the throne, as well as warn him of his eventual demise. It can be
argued that it is Macbeth s ambition that allows him to succeed in his endeavors, however the
goals to which he is working toward influence the results of his hard work. Macbeth s ambitions
help him to become a war hero, and as his goals change, his ambitions drive him to become a
tyrannical villain. At the beginning of the play, Macbeth and Banquo, Macbeth s friend and a
sergeant in King Duncans army, are hailed as heroes in helping to defeat Macdonwald who led the
allied forces of Norway and Ireland against Scotland. The Sergeant exalts Macbeth s prowess and
states,
For brave Macbeth well he deserves that name
Disdaining fortune, with his brandish d steel,
Which smoked with bloody execution,
Like valour s minion carved out his passage
Till he faced the slave;
Which ne er shook hands, nor bade farewell to him,
Till he unseam d him from the nave to the chaps,
And fix d his head upon our battlements. (Shakespeare, n.d., 1.2.35 42)

Ethical Performance Evaluations
Ethical Performance Evaluations Organizations have a commitment to employees to provide an
evaluation based on performance that is being performed the position held. Managers include the

Critique of employee should be given on the important aspects and examples of each strength and
weakness that has occurred during the time before the evaluation. Employees may become
defensive if there is no credibility on what is given to the employee in the evaluation. The raise of
a salary of an employee usually has a short term impact on motivation, the overall views of the
manager has the greatest and long term impact on the employee to further improve the employee.
Managers should use the 360 degree evaluation process to provide adequate and excise information
to each employee. This process involves using multiple sources. The sources consist of peers, direct
reports, supervisors, customers, vendors, and human resources. The evaluation is done by the
complete circle of sources. The manager s involvements are to design, gather the information, and
communicate the evaluation to the employee. Managers using the 360 process will discover
strengths, weaknesses, and expectations that were not known. Overall, this process can allow an
employee to become accountable for their own development and growth in the organization

Interpretation of Muir s Horses Essay
Interpretation of Muir s Horses
My interpretation of Edwin Muir s poem entitled Horses is one of a past memory and the
conflict and anger brought about by this memory , a conflict between light and darkness, good
and evil in the mind of a elderly dying man, fearing death as he gazes out across a field. The
memory being that of a day from his past, where he as a child farm worker watched a team of
horses ploughing the stubble back into the field during a rainy day which gets progressively more
stormy. The horses making their way to and fro across the field leaving furrows, the setting sunlight
breaking through the clouds picking out images in the distance. Images getting darker and more
vivid as the horses drew nearer. A... Show more content on Helpwriting.net ...
The poem is in the form of a four line verse with an almost constant AA BB rhyme. The line
lengths are constant but some lines do run on into the next. The rhythm of the poem begins with a
slow pace, this is suggested by the word lumbering in line 1, then the piece begins to slowly pick
up the tempo at line 13. This tempo to me then builds with each successive line until a climax is
reached with line 24. The poet then purposely puts the brakes on the tempo by using repetition of
the word fade line 25, after which the tempo is the same as at the beginning. The religious theme
to this poem is made by the use of similes and metaphors in the horses descriptions. An example
being their comparison to seraphims of gold (line 11), seraphim s of course being an order of
angels. Another being the use the word bossy (line 15), a reference perhaps to the carved
wooden bosses found high in the vaulting of Gothic Church ceilings. He sets a creepy mood to
the piece by the process of alliteration using the letter m (line 12) to lower the tempo and tone
prior to the fourth verse. It is here when the tempo begins to gain momentum, another piece of
alliteration is used in the form of the expression broad breasted (line 14), which instills the idea
that these creatures are big and so should make a larger impact to us as they overpower the sinking
sun. From now on the horses are taking on more and more almost mythological properties, glowing
with mysterious fire (line 19), and

Metamoratives In Life Of Pi By Yann Martel
In the novel Life of Pi (2001) written by Yann Martel the story is about a young man by the
name of Piscine Molitor Patel whose whole life changes in a blink of an eye and finds himself
suddenly stuck with a Bengal tiger by the name of Richard Parker after he faces a shipwreck and
loses his family. Yann brings the book to life when he puts imagination into it. In the first
section of the novel, the book covers Pi s childhood and how he majors in religious studies and
zoology. In the second section of the novel, Pi s transition into a man and how he brings out the
animal in him is what basically gets him and Richard Parker to survive for so long and not die.
Pi does risky things in this section for example when he chooses to train Richard Parker rather
than to kill him and kills baby sharks as well to eat them later on. Richard Parker becomes very
important for Pi because Pi did not want to be left alone on the raft. In part three of the novel, two
Japanese investigators visit Pi while he is in the hospital and Pi chooses to give his own story
which gets the men kind of upset because they feel like he invents it up but he chooses to give them
that story for a reason and the men did not seem to get why. Zoomorphism is one of the main
metanarratives that stands out throughout the novel. In Part One of the novel, the author constantly
foreshadows events for the readers. The character Pi states that an event that happened in his life
that shapes who he became. Pi reflects on

Pros And Cons Of Valley Forge
Imagine, the freezing cold, ripped clothing, no shoes, and inadequate clothing. Would you stay?
Most people wouldn t, but here is why you should stay at Valley Forge, during the Revolutionary
War. Most soldiers enlisted for for nine months, and left, never to reenlist again. Everyone would
give up, or abandon the Continental Army. So the real question is would you enlist? I would
reenlist for three reasons, it s easy to climb the ranks, if you leave you ll be labeled a summertime
soldier, or chicken, and finally, you can take pride in knowing you helped pave the way for
American independence.
I would reenlist because it would be easy to climb the ranks, to then be labeled a hero. Looking
at document D, The American Crisis , by Thomas Paine states, The summer soldier and the
sunshine patriot will, in crisis shrink from service... ...But he who stands it now deserves the love
and thank from man and woman . This to me says how the longer you stay, compared to the ones
not reinlisting, the better off you ll be. It says right there how you shall win the love of everyone.

Avatar Movie Analysis
Avatar is a blockbuster film from 2009 and one of my most favorite Sci fi films of all time. The
film was directed by James Cameron, who is known for directing films like Titanic (1997), Aliens
(1986), and the Terminator (1984), all of which helped shape the film industry into what it is today.
Although at the time, there was a recession and people were trying to save money, this movie
became the highest grossing film in at the time. The movie provided stunning 3D technology unlike
any other movie and this was one of the reasons that made people want to go watch the film. From
visual effects to the camera angles, James Camerondirected this movie to make the audience feel
like they are in the movie. Although the film looked amazing, there were messages and themes
inside the film that made it such a success. The film provoked discussions about various messages
and themes embedded inside the film, such as terrorism, Imperialism, religious connections, and
connections to current world. Such messages can be clearly seen throughout the plot of the movie.
The plot of the movie is very simple, it takes place the future, where humans are looking to other
planets for resources and this is a very likely future of the current human race because Earth is
limited on resources and as we run out of resources we will have to look towards other planets for
resources. Jake Sully, the main protagonist of the film, is a former U.S. Marine who is paralyzed

Cultural contrasts:
Individualistic Collectivistic
According to Hofstede, Great Britain is an individualistic country (score: 89), Brazil is a more
collectivist country (score: 38) and Spain is in the middle with a score of 51.
In a collectivist country an organisation puts the stress on the training of skills. That is what
Santander does with Abbey: they train the employees to improve the customer service
If we presume that the training of the UK employees happens after the working hours, they have
less personal time. But personal time is very important in an individualistic country, as Great Britain
is according to Hofstede, so this can create dissatisfaction among the UK staff.

In today s society, depression has become a broad term that often gets thrown around in multiple
different contexts. However, depression is a serious concern that is diagnosable and can lead to
several complications. In 2011, it was found that while 10.7 percent of U.S. college students were
diagnosed or treated for depression, up to 50 percent of college students are vulnerable to
developing symptoms of depression while attending school (Egbert, Miraldi, Murniadi 460).
Although depression has remained a concern among mental health professionals for decades, there
is still a lot to learn about how to treat and prevent this illness. One of the earliest discussions
regarding depression can be found in the Biblical Book of Job, composed... Show more content on

Although most people have heard of depression, very few people can depict its symptoms and
effective treatment methods. The Book of Job appears to be one of the earliest works of
literature regarding depression. Kapusta and Frank discuss a number of reasons why Job
appears to be depressed ranging from his dysphoric mood to his poor appetite, restlessness, and
reduced sexual drive. Although Job may have been depressed, he was able to overcome his
depression through support from Elihu and God. Kapusta and Frank s portrayal of Job as a
depressed person who is comforted by Elihu is effective for today s reader as it teaches people
the importance of looking out for their friends. Furthermore, Job teaches us that just because
someone is suffering, it does not mean that the person deserves what is happening to them. On
the other hand, Kapusta and Frank s portrayal of Job is also effective for modern readers who are
experiencing depression, since the Book of Job shows that despite Job s depression, he did not
give up on his life. For instance, in Job 2:10, Job says we receive good at the hand of God, and
shall we not receive evil meaning that God does not will evil on us (King James Version). The
Book of Job is an important reading since it teaches us that either we or someone we know will
suffer at some point. However, just because we are suffering it does not mean we should have to go
through it

Sympathizing with Shylock in William Shakespeare s The...
Sympathizing with Shylock in William Shakespeare s The Merchant of Venice In the Merchant of
Venice, Shakespeare creates an atmosphere throughout the play, which causes the audience to
sympathize with Shylock. Shakespeare uses key events, and dialogue to influence the audience. At
the time Shakespeare wrote his plays, and they were performed, the contemporary audience would
have mainly consisted of Christians. Jews were often persecuted, as they were the minority. The
Christian audience would have been quite arrogant, and Shakespeare would have had to pander to
this audience, to make the play appeal to them. He did this through Shylock. In Act 3 Scene 3,
Shylock tells of how he is abused by... Show more content on Helpwriting.net ...
A modern audience would be multi racial and therefore they would feel the same level of
emotion, but it would be different, as only an extremely small minority of the modern audience
would have mistreated Jews so consequently, they would almost be able to feel Shylock s
emotions, as they can relate to them. He gives a very powerful performance. His speech is then
concluded with further evoking of sympathy, If you prick us do we not bleed? If you tickle us
do we not laugh? stating that he is not merely a religion, which he is seen as by the people who
discriminate against him, he is a human. This particular sentence has become very famous, and
further evokes sympathy and shows that Shylock is human with feelings and has a valid reason
for wanting revenge. The play has two plots; the flesh bond plot, and the marriage caskets plot.
Bassanio wishes to offer marriage to Portia, the Heiress of Belmont but cannot compete with her
other suitors. Portia is the heiress to a great fortune, but her father s will states that she can only
marry the man who chooses the correct casket, made of either Gold, Silver or lead. The potential
husband must choose the casket containing her portrait. In Belmont, after the Princes of Morocco
and Aragon have both chosen the wrong

An Essay on 3G Wireless Communication Technology
Branch: EEE
The advent of Wireless Communication
Communication has been one of the most fundamental aspects of human development. It took the
eccentric genius of Nikola Tesla to come up with the design of the first radio transmitter in 1891.
The first transatlantic radio communication in 1901 was a sign of further things to come.
Communication technologies that have been developed over the last century have largely shaped
human interaction and have played a crucial role in sustaining human relationship be it ... Show

The recent introduction of 3G mobile services in India have however brought in enhanced data and
voice transmission and are welcome signs in the improvement in mobile communication
technology. The essay deals in depth with 3G wireless technology and the difference with its
successors (3.5G and 4G) and predecessor (2G).
3G (3rd generation mobile telecommunications)
3G wireless technology represents the convergence of various 2G wireless telecommunications
systems into a single global system that includes both terrestrial and satellite components. One of
the most important aspects of 3G wireless technology is its ability to unify existing cellular
standards, such as CDMA, GSM, and TDMA, under one umbrella. It improves the efficiency of
data can be transferred through the cellular phone. The data transfer rates for third generation
mobile telecommunications is up to 2 Megabits per second. Aside from this feature, 3G cellular
phones also have conventional voice, fax and data services, as well as high resolution video and
multimedia services which can be used while on the move. It also includes mobile office services
such as virtual banking and online billing, video conferencing, online entertainment and access to
the Internet.

The Founding Principles Of The Fourier Series
FOURIER SERIES AND ITS SOME APPLICATIONS

Abstract
The Fourier Series, the founding principle behind the field of Fourier Analysis, is an infinite
expansion of a function in terms of sines and cosines. In physics and engineering, expanding
functions in terms of sines and cosines is useful because it allows one to more easily manipulate
functions. In particular, the fields of electronics, quantum mechanics, and electrodynamics all make
heavy use of the Fourier series. Key words: Fourier Transform, Discrete Fourier Transform,
Convolution Transforms
I.INTRODUCTION
The Fourier Series, the founding principle behind the field of Fourier Analysis, is an infinite
expansion of a function in terms of sines and cosines or imaginary exponentials. The series is
defied in its imaginary exponential form as follows: ... Show more content on Helpwriting.net ...
Since sines and cosines (and in turn imaginary exponentials) form an orthogonal set1, this series
converges for any moderately well behaved function f(x) .Examples of the Fourier Series for
different wave forms are given in figure I.
II.THE FAST FOURIER TRANSFORMS
The Fourier Series is only capable of analyzing the frequency components of certain,
discretefrequencies (integers) of a given function. In order to study the casewhere the frequency
components of the sine and cosineterms are continuous, the concept of the Fourier Transform must
be introduced. The imaginary exponential form of the Fourier Transform is defined as

Several different tables may be defined and each table contains a number of built in chains that
may also contain user defined chains as well. Each chain is a list of rules which can match a set
of packets. Each rule specifies what to do with a packet that matches. This is called a target ,
which may be a jump to a user defined chain in the same table. The first table is the default table
if no other selection is made and should be used exclusively for filtering packets based on their
content. That table is called the filter table and does not have the ability to alter any packets.
The next table is called nat (network address translation) and this table is used to translate the
source or destination fields of packets when packets create new connections. The last table is
called mangle and is used for specialized packet alteration including TOS (type of service) as well
as TTL (time to live). The last Linux security technology I want to discuss is chroot jail and how

Chapter 6 Deductions: General Concepts and Trade or Business Deductions
SUMMARY OF CHAPTER
Tax deductions are allowed to taxpayers only if specifically authorized by the Internal Revenue
Code. Deductions allowable to individual taxpayers fall into four categories: trade or business
expenses, expenses incurred for the production of income, losses, and personal expenses. In
addition to discussing the general requirements for deductibility for each of the above types of
expenses, this chapter also discusses the tax treatment of many commonly encountered expenses
incurred by taxpayers, from trade or business expenses such as rent, insurance, interest, taxes, bad
debts, etc. to employee business expenses (travel, transportation, etc.) to ... Show more content on

Personal expenses deducted as itemized deductions are discussed in Chapter 8.
Trade or Business Deductions
В¶6201 Overview Code Sec. 162 Under Code Sec. 162, all ordinary, necessary and reasonable
expenses incurred in carrying on a trade or business activity are deductible. This is true whether
the taxpayer s business activities are structured as a sole proprietor, a partnership, or a
corporation. Allowable trade or business expenses incurred by individuals are deductible for
AGI, usually on Schedule C, attached to Form 1040. В¶6205 General Criteria There are four
requirements for an expense to be deductible as a trade or business expense: (1) It must be
related to carrying on a trade or business activity (as opposed, for example, to a hobby activity);
(2) It must be ordinary and necessary; (3) It must be reasonable; and (4) It must be paid or
incurred during the taxable year. В¶6215 Expense Must Be Incurred in a Trade or Business
Activity A deduction is authorized by Code Sec. 162 only if the expenditure is paid or incurred in
an activity that constitutes a trade or business. The purpose of this requirement is to deny
deductions for expenses incurred in activities that are primarily personal in nature. Business status
requires both a profit motive and a sufficient degree of taxpayer involvement in the activity to
distinguish the activity from a passive

Toco Toucan Research Paper
Measuring 63.5 cm (25 in.) in length, the Toco toucan is the largest of all toucans. Its black body
and white throat are overshadowed by its most recognizable trait: a large colorful beak. The
bright orange beak is about 19 cm (8 in.) long one third of the bird s total length. But despite its
substantial size, the beak weighs less than you may think. Toco toucans also use their beaks to
pluck and peel fruit, their main source of food. In addition, the beak houses a flat tongue of the
same length, which helps the toucan catch insects, frogs, and reptiles. Toco toucans also
occasionally eat the eggs of other birds. Although they spend a lot of time in trees, they are not
very good at flying. Toucans mainly travel among trees by hopping.

Bush The Bipartism Consensus Summary
Chapter 21 Carter Raegan Bush: The Bipartism Consensus
A.Thesis Statement:
Fundamental problems such as environmental deterioration, deepening economic insecurity for
much of the population, and a growing culture of violence and family disarray could not be solved
without bold changes in the social and economic structure.
Evidence used:
1. After President Bush took office, a government scientist prepared testimony for a Congressional
committee in regards to the dangerous effects of industrial uses of coal and other fossil fuels in
contributing to global warming. This ecological crisis in the world had become so serious that Pope
John Paul II rebuked the wealthy classes of the industrialized nations for creating that crisis. An

So much was poured into war efforts that little was left for the general people to strive on.
c) An additional source that would be helpful would be one from someone of the general
population. As victims of so much going into the war and hardly anything going to them, it would
be interesting to see and relate to their anger.
D. Observations/Questions:
1. Poverty causes stress on marriages as well as within a family. Hunger and lack of other
necessities led to frustration and strained relationships. Families were split and torn apart. And
when families fall apart, so does the nation. The family is the core foundation of teamwork,
cooperation, understanding, and commitment. And when people loose these things or aren t taught
them as children, there is bound to be chaos...and there was.
2. It s amazing what the work of one man can do to a country. President Ronald Raegan made the
choices to spend large amounts of money on military, yet almost completely ignored the social
atmosphere of his people. He favored the rich over the poor and middle classes, who constituted the
majority of the population. His choices ultimately caused economic, social, and political

Children s Versions of The Cantebury Tales
Being a work filled with an unprecedented wealth of fascinating characters , Chaucer s The
Canterbury Tales has been translated and retold in many versions over the years (Cohen 7 8).
Unavoidably translations and retelling require choices made by writers and editors of how to
represent things and what to include, which can easily change aspects of the original story. The
most difficult retellings may be versions written for children as writers not only have to deal with
modernizing the language but also simplifying stories which feature adult themes, including
corruption of the church, sex, marriage, adultery, for a younger audience. This essay will look at
children s versions of The Canterbury Talesretold by Barbara Cohen, who uses... Show more content

All of three of the children s versions of The Franklin s Tale follow the plot points of Chaucer s
tale, merely translated into Modern English prose to make it easier for young readers to
understand. To further aide in comphrension, all three of the children s version leave out
Chaucer s allusions to other works that medieval readers would have read, such as the Roman
goddess Lucina (Norton ln1045) and Ovid s poem Echo and Narcissus (Norton ln 951 952), but
young modern readers may not have even heard of. The children s version also all maintain the
inherent didactic nature of the tale relaying the concept of not making a promise lightly and
always keeping the promises you make. The children s version which most closely resembles
Chaucer s original tale is written by Cohen. This version not only follows the plot points but retells
many of the descriptions of how characters are feeling, although Cohen does not include the lengthy
physical descriptions of clothing and scenery in her Modern English prose that Chaucer writes in
his Middle English poetic verses. As with Chaucer s tale, Cohen ends with asking the question
Who do you think was the most generous? but doesn t include the pilgrims chat leaving it up to
the reader to decide (Cohen 84). McCaughrean tells the story like a fairy tale, describing
appearances with a fair amount of detail. She covers all the plot points but does not go into the

Leslie Ross is a shareholder that owns less than 50% of the voting shares, but has the majority of the voting shares and thus has taken control of the corporation. According to SFAS 94, due to this control, Leslie Ross must consolidate his interest with Big Corporation. Mark Jones, a minority shareholder, is in a position of management for the company. The larger the disparity, the more likely these are to be protective rights. In this situation, there is not a large disparity. b. If the corporate governance arrangements states that decisions are made at the shareholder level, these are likely to be substantive participating rights. c. If matters can be put to a vote of the shareholders, these are most likely substantive participating rights. References: ASC 810 10 25 5 Assessing whether the rights of a minority shareholder should overcome the presumption of consolidation by the majority investor depends on whether the majority investor has control over the corporation. Judging control depends on many factors, including if a minority investor has participating or protective rights. ASC 810 10 25 10 through 25 11 A minority investor that holds protective rights does take the control away from the majority investor and the owner of the majority voting interest would need to consolidate with the corporation. Substantive participating rights are granted by contract or by law. A minority investor that holds these rights can participate in significant decisions that are made in the ordinary course of business, including vetoing significant decisions proposed by the investor with the majority voting interest. Compare and Contrast Essay of the Opening Scenes of Tim Burton s Corpse Bride and The Nightmare Before Christmas This essay compares and contrasts the similarities and the different parts of the opening scenes of two movies of Tim Burton which are Corpse Bride and The Nightmare Before Christmas. The scenes will be explained in details through the gothic elements and his unique style. Here is an outline of the essay s main sections; 1.Introduction Information about Tim Burton and his unique style Famous for his unique style, Timothy Walter Burton was born on August 25, 1958, in Burbank, California. As a child, Burton had no interest in the normal education. His world was about art, horror movies, and painting. A tremendous youngster,... Show more content on Helpwriting.net ... Tim Burton s Unique Style/Burtonesque Just like in his previous movies, in both The Corpse Bride and The Nightmare Before Christmas, it is very clear to find Burton s own signature. People have frequently contrasted Burton s style with the gothic. The utilization of dark, the dimness of some of his illustrations, the overwhelming make up, the whiteness of the skins, beasts and other spooky animals review Gothic writing and works of art yet, in addition, German Expressionism. The topic of death is ubiquitous in Burton s specialty regularly joined with verse and ridicule. The shocking end up noticeably funny and beautiful. He discovers motivation in the creators he adores like Edgar Allan Poe and Roald Dahl. He appreciates them for the unpredictability of their stories and the many sided quality of their universes a long way from being recently highly contrasting. They are both entertaining and dull and near Burton s own particular style. A world brimming with logical inconsistencies, both dull and light, startling and inviting, merciless and delicate. A world where obscurity lives together with splendid hues, where strange looking individuals and creatures are overcome and liberal and where the terrible ends up plainly wonderful. Tim Burton has his own style that remaining parts incomparable and his lavishness has turned out to be to a great degree famous. His world is such a ... Get more on HelpWriting.net ...
  • 4. Tsarist Autocracy Essay The Russian Empire was a vast state that ruled over many different nationalities. All people in Russia had to face a highly authoritarian regime, the Tsarist Autocracy. The most crucial of the defining features of the Tsarist Autocracy was the fact that the ruler, the Tsar, had an absolute power which was said to be derived from God and knew no constitutional limits. This had very deep political and legal implications: decrees of the Tsarwere considered laws, and with such authority there was no need for any political system. Below the Tsar existed his government and a vast bureaucracy which was administering the state affairs. Lack of control and accountability generated high corruption in the public life of Imperial Russia. Another characteristic of the regime was the absence of political freedoms and civil rights, censorship and strong repression of opposition with a strong role of the secret police which in turn made Russia a police state. Russia s social structure was based on the ranks dividing the people into 4 main social classes. The nobility formed the ruling elite who shaped the basis of the autocracy of the Tsar and enjoyed extensive privileges such as being excluded from paying taxes. Below the ruling nobility were those nobles who worked as government officials and were dependant on a salary. ... Show more content on Helpwriting.net ... People tend to give up on dreams as soon as someone closes the door on them which leaves them with no hope. What one has done over the years, all the work and sweat, the sacrifices that person has made are gone in an instant because he can no longer endure the pain. People face challenges and sometimes hardships, but all of this is a part of life. One would live in a perfect world with a perfect family and in perfect harmony. Life would be meaningless if the world were a utopia. There would not be balance between good and bad and it would not be worth to live since there would be no challenges or fears.de Botton gives us a quote explaining what one would face if they chose the easy way out of tough times and what they would face in the end. He says: What if pleasure and displeasure were so tied together that whoever wanted to have as much as possible of one must also have as much as possible of the other... you have the choice: either as little pleasure as possible, painless in brief...or as much displeasure as possible as the price for the growth of an abundance of subtle pleasures and joys that have rarely been released yet? If you decide for the former and desire to diminish and lower the level of human pain, you also have to diminish and lower the level of their capacity for joy (215). Pleasure and difficulties are tied together and they work like a scale. On one side, we have pleasure and on the other difficulties. If one cheats in life and has too many pleasures, one will suffer hardships. However if one faces the hardships and goes through difficulties in order to be successful, one will be happy in the end. People end their joys if they choose to cheat and take the short cuts. It is important for people to understand why ... Get more on HelpWriting.net ...

Everyone from professionals to amateurs are currently seeing great advancements in many aspects of the industry. Every year thousands of independent films are made. Some movie studios and directors have already switched completely to digital. Digital cameras have progressed enough that their image quality is close to the traditional format. • 9. The Role of Ambition in Macbeth The role of ambition in Macbeth The Tragedy of Macbeth by William Shakespeare recounts Macbeth s meteoric rise as a soldier and promising future leader whose megalomaniacal ambition led to his tragic downfall. In addition to Macbeth s ambitions, which initially enable him to be strong leader and soldier, he is influenced heavily by his wife, Lady Macbeth, and the three witches that prophesize his ascent to the throne, as well as warn him of his eventual demise. It can be argued that it is Macbeth s ambition that allows him to succeed in his endeavors, however the goals to which he is working toward influence the results of his hard work. Macbeth s ambitions help him to become a war hero, and as his goals change, his ambitions drive him to become a tyrannical villain. At the beginning of the play, Macbeth and Banquo, Macbeth s friend and a sergeant in King Duncans army, are hailed as heroes in helping to defeat Macdonwald who led the allied forces of Norway and Ireland against Scotland. The Sergeant exalts Macbeth s prowess and states, For brave Macbeth well he deserves that name Disdaining fortune, with his brandish d steel, Which smoked with bloody execution, Like valour s minion carved out his passage Till he faced the slave; Which ne er shook hands, nor bade farewell to him, Till he unseam d him from the nave to the chaps, And fix d his head upon our battlements. • 11. Interpretation of Muir s Horses Essay Interpretation of Muir s Horses My interpretation of Edwin Muir s poem entitled Horses is one of a past memory and the conflict and anger brought about by this memory , a conflict between light and darkness, good and evil in the mind of a elderly dying man, fearing death as he gazes out across a field. The memory being that of a day from his past, where he as a child farm worker watched a team of horses ploughing the stubble back into the field during a rainy day which gets progressively more stormy. The horses making their way to and fro across the field leaving furrows, the setting sunlight breaking through the clouds picking out images in the distance. Images getting darker and more vivid as the horses drew nearer. A... Show more content on Helpwriting.net ... The poem is in the form of a four line verse with an almost constant AA BB rhyme. The line lengths are constant but some lines do run on into the next. The rhythm of the poem begins with a slow pace, this is suggested by the word lumbering in line 1, then the piece begins to slowly pick up the tempo at line 13. This tempo to me then builds with each successive line until a climax is reached with line 24. The poet then purposely puts the brakes on the tempo by using repetition of the word fade line 25, after which the tempo is the same as at the beginning. The religious theme to this poem is made by the use of similes and metaphors in the horses descriptions. An example being their comparison to seraphims of gold (line 11), seraphim s of course being an order of angels. Another being the use the word bossy (line 15), a reference perhaps to the carved wooden bosses found high in the vaulting of Gothic Church ceilings. He sets a creepy mood to the piece by the process of alliteration using the letter m (line 12) to lower the tempo and tone prior to the fourth verse. It is here when the tempo begins to gain momentum, another piece of alliteration is used in the form of the expression broad breasted (line 14), which instills the idea that these creatures are big and so should make a larger impact to us as they overpower the sinking sun. From now on the horses are taking on more and more almost mythological properties, glowing with mysterious fire (line 19), and ... Get more on HelpWriting.net ...
  • 12. Metamoratives In Life Of Pi By Yann Martel In the novel Life of Pi (2001) written by Yann Martel the story is about a young man by the name of Piscine Molitor Patel whose whole life changes in a blink of an eye and finds himself suddenly stuck with a Bengal tiger by the name of Richard Parker after he faces a shipwreck and loses his family. Yann brings the book to life when he puts imagination into it. In the first section of the novel, the book covers Pi s childhood and how he majors in religious studies and zoology. In the second section of the novel, Pi s transition into a man and how he brings out the animal in him is what basically gets him and Richard Parker to survive for so long and not die. Pi does risky things in this section for example when he chooses to train Richard Parker rather than to kill him and kills baby sharks as well to eat them later on. Richard Parker becomes very important for Pi because Pi did not want to be left alone on the raft. In part three of the novel, two Japanese investigators visit Pi while he is in the hospital and Pi chooses to give his own story which gets the men kind of upset because they feel like he invents it up but he chooses to give them that story for a reason and the men did not seem to get why. Zoomorphism is one of the main metanarratives that stands out throughout the novel. In Part One of the novel, the author constantly foreshadows events for the readers. Most people wouldn t, but here is why you should stay at Valley Forge, during the Revolutionary War. Most soldiers enlisted for for nine months, and left, never to reenlist again. Everyone would give up, or abandon the Continental Army. So the real question is would you enlist? I would reenlist for three reasons, it s easy to climb the ranks, if you leave you ll be labeled a summertime soldier, or chicken, and finally, you can take pride in knowing you helped pave the way for American independence. • 15. Avatar Movie Analysis Avatar is a blockbuster film from 2009 and one of my most favorite Sci fi films of all time. The film was directed by James Cameron, who is known for directing films like Titanic (1997), Aliens (1986), and the Terminator (1984), all of which helped shape the film industry into what it is today. Although at the time, there was a recession and people were trying to save money, this movie became the highest grossing film in at the time. The movie provided stunning 3D technology unlike any other movie and this was one of the reasons that made people want to go watch the film. From visual effects to the camera angles, James Camerondirected this movie to make the audience feel like they are in the movie. Although the film looked amazing, there were messages and themes inside the film that made it such a success. The film provoked discussions about various messages and themes embedded inside the film, such as terrorism, Imperialism, religious connections, and connections to current world. Such messages can be clearly seen throughout the plot of the movie. The plot of the movie is very simple, it takes place the future, where humans are looking to other planets for resources and this is a very likely future of the current human race because Earth is limited on resources and as we run out of resources we will have to look towards other planets for resources. Although most people have heard of depression, very few people can depict its symptoms and effective treatment methods. The Book of Job appears to be one of the earliest works of literature regarding depression. Kapusta and Frank discuss a number of reasons why Job appears to be depressed ranging from his dysphoric mood to his poor appetite, restlessness, and reduced sexual drive. Although Job may have been depressed, he was able to overcome his depression through support from Elihu and God. Kapusta and Frank s portrayal of Job as a depressed person who is comforted by Elihu is effective for today s reader as it teaches people the importance of looking out for their friends. Furthermore, Job teaches us that just because someone is suffering, it does not mean that the person deserves what is happening to them. On the other hand, Kapusta and Frank s portrayal of Job is also effective for modern readers who are experiencing depression, since the Book of Job shows that despite Job s depression, he did not give up on his life. For instance, in Job 2:10, Job says we receive good at the hand of God, and shall we not receive evil meaning that God does not will evil on us (King James Version). The Book of Job is an important reading since it teaches us that either we or someone we know will suffer at some point. At the time Shakespeare wrote his plays, and they were performed, the contemporary audience would have mainly consisted of Christians. Jews were often persecuted, as they were the minority. He gives a very powerful performance. His speech is then concluded with further evoking of sympathy, If you prick us do we not bleed? If you tickle us do we not laugh? stating that he is not merely a religion, which he is seen as by the people who discriminate against him, he is a human. This particular sentence has become very famous, and further evokes sympathy and shows that Shylock is human with feelings and has a valid reason for wanting revenge. The play has two plots; the flesh bond plot, and the marriage caskets plot. Bassanio wishes to offer marriage to Portia, the Heiress of Belmont but cannot compete with her other suitors. Children s Versions of The Cantebury Tales Being a work filled with an unprecedented wealth of fascinating characters , Chaucer s The Canterbury Tales has been translated and retold in many versions over the years (Cohen 7 8). Unavoidably translations and retelling require choices made by writers and editors of how to represent things and what to include, which can easily change aspects of the original story. The most difficult retellings may be versions written for children as writers not only have to deal with modernizing the language but also simplifying stories which feature adult themes, including corruption of the church, sex, marriage, adultery, for a younger audience.
